Vercelox Solutions is a sole proprietorship registered in the Netherlands.

2. Applicability

These Terms of Service apply to all quotations, agreements, projects and services provided by Vercelox.

By engaging our services, the client agrees to these Terms.

3. Services

Vercelox provides professional services including, but not limited to:

Digital marketing
Google Ads management
Meta Ads management
TikTok Ads management
Shopify development
Website optimisation
Google Merchant Center compliance and reinstatement support
Ecommerce consulting
Ecommerce operations consulting
Warehousing and fulfilment consulting
Logistics and shipping consulting

The exact scope of each project is defined in the quotation or written agreement.

4. Quotations and Agreements

All quotations are non-binding unless otherwise stated.

A project commences once the quotation or agreement has been accepted by both parties.

Any additional work requested outside the agreed scope may result in additional costs and revised delivery timelines.

5. Payments

Invoices must be paid within the agreed payment term stated on the invoice or quotation.

Unless otherwise agreed in writing, work may commence only after any required upfront payment has been received.

Late payments may result in the suspension of ongoing work until payment has been received.

6. Client Responsibilities

The client agrees to provide accurate information, timely feedback, and any necessary access to accounts, platforms or systems required to perform the agreed services.

Delays in providing required information or approvals may affect project timelines.

7. Intellectual Property

Unless otherwise agreed in writing, ownership of completed work transfers to the client after full payment has been received.

Vercelox retains ownership of its methodologies, templates, internal processes, documentation and proprietary know-how.

8. Merchant Center and Marketing Services

Vercelox provides guidance and implementation based on Google's published policies, best practices, and our professional experience, including first-hand experience managing and resolving Google Merchant Center account suspensions.

The final decision regarding Google Merchant Center approvals, suspensions or reinstatements is made solely by Google.

Vercelox performs all services with care, professional diligence and in accordance with Professional best practices. However, we cannot guarantee specific outcomes, including but not limited to Google Merchant Center approvals or reinstatements, advertising performance, search rankings, website traffic, sales, conversions, revenue growth, operational improvements, or any other commercial or business results, as these depend on numerous factors outside our control, including third-party platforms and client implementation.

Advertising platforms, search engines and other third-party services operate independently and may modify their policies, algorithms or requirements at any time without notice.

Where applicable, Vercelox provides post-project support and assistance as agreed with the client.

9. Liability

Vercelox performs its services with care and professional diligence.

To the fullest extent permitted under applicable law, Vercelox shall not be liable for indirect, incidental or consequential damages, including loss of profits, revenue, business opportunities or data.

We aim to respond within 14 days.

Where a complaint cannot be resolved mutually, the parties shall seek an appropriate solution in accordance with Dutch law.

11. Governing Law

These Terms of Service are governed exclusively by Dutch law.
